UNION Plus (“U+”) Membership Agreement – Terms & Conditions of Membership

1.These terms and conditions

1.1. What these terms cover.

These are the terms and conditions which govern your U+ Membership (“Terms”).

1.2. Why you should read them. Please read these Terms carefully. These Terms tell you who we are, what the U+ Membership entails, how we may change or end the contract, how you may end the contract, what to do if there is a problem, and other important information.

2. Information about us and how to contact us

2.1. Who we are.

Where you have an Occupancy Agreement (as defined in clause 3.1) at Union East, 19 Water Street, Manchester M3 4JQ, we are Vita Living T1 Limited, a company registered in England and Wales (registration number 11928326) whose registered office is Horseshoe Farm Elkington Way, Alderley Edge, Cheshire, United Kingdom, SK9 7GU acting by the Management Company: Union Manchester (East and West) Management Limited, a company registered in England and Wales (registration number 13561143) whose registered office is Horseshoe Farm Elkington Way, Alderley Edge, Cheshire, United Kingdom, SK9 7GU, or

Where you have an Occupancy Agreement at Union West,  22 Water Street, M3 4BR, we are Vita Living T2 Limited, a company registered in England and Wales (registration number 12926421) whose registered office is Horseshoe Farm Elkington Way, Alderley Edge, Cheshire, United Kingdom, SK9 7GU acting by the Management Company: Union Manchester (East and West) Management Limited, a company registered in England and Wales (registration number 13561143) whose registered office is Horseshoe Farm Elkington Way, Alderley Edge, Cheshire, United Kingdom, SK9 7GU,

and in each case herein referred to as “Union”.

2.2. How to contact us. You can speak to a member the Union residence team at the front desk, or by emailing us at residentcontracts@liveunion.com.

2.3. How we may contact you. If we have to contact you, we will do so by email or phone (using the details you have provided to us), or by writing to you at your Union residence address.

2.4. “Writing” includes emails. When we use the words “writing” or “written” in these Terms, this includes emails.

2.5 “Transition Period” means the period beginning on the date on which notice of the update to these Terms is served on U+ Members and ending thirty (30) days thereafter.

3. Becoming a U+ Member

3.1 Membership is available only to individuals who are 18 years of age or over and reside in Union accommodation under the terms of a current and existing licence agreement (in respect of a Union studio apartment) or a current and existing assured shorthold tenancy agreement (in respect of a Union shared apartment) (each a “Union Occupancy Agreement”).

3.2. By signing up for U+ Membership , you agree that you have read, understood, and accepted these Terms. Once you have accepted these Terms, a contract will come into existence between you and us. You will then be entitled to all the rights and privileges available to a member of a U+ Membership.

3.3. Once you have accepted these Terms and you have become a resident at Union, you will be provided with access to the U+ Membership spaces and benefits set out at clause 4 below (the “Spaces and Benefits”).

3.4. We reserve the right to deny granting a U+ Membership. This might be because of lack of capacity, because in our reasonable opinion you would not be a suitable candidate for U+ Membership, you have previously breached terms and conditions of a U+ Membership agreement or your Union Occupancy Agreement or the Union House Rules, or because we have identified an error in the price or description of the U+ Membership you were offered.

4. U+ Membership Spaces and Benefits

4.1. Spaces and Benefits shall mean:

4.1.1. access to the following Spaces between the hours of 6:00am and 2:00am, seven (7) days a week:

  • gym equipment in an unstaffed gym
  • private rooms available to book (subject to the booking restrictions set out at clause 4.2) via the Union booking hub; and
  • access to the U+ Members lounge.

4.1.2. Complimentary laundry services as follows:

(a) Existing U+ Members benefit from twelve (12) complimentary washes and twelve (12) complimentary spin dries per calendar month until the expiry of the Transition Period, after which this benefit shall reduce to eight (8) complimentary washes and eight (8) complimentary spin dries per calendar month; and

(b) New U+ Members being U+ Members who join following 19/01/26, benefit from eight (8) complimentary washes and eight (8) complimentary spin dries per calendar month.

Any unredeemed wash or spin dry in a calendar month shall not be carried forward to the next calendar month.

4.1.3. £10 printing credit per calendar month. Please note that any unredeemed printing credit in a calendar month shall not be carried forward to the next calendar month.

4.1.4. a fifteen per cent (15%) discount on food and drink purchased at Base. This discount shall not be valid in conjunction with any other offer, promotion or discount, including (without limitation) set menu offers, bundled offers, time-limited promotions or any other deal made available from time to time.

4.1.5. access to neighbourhood discounts made available by third-party local businesses from time to time. Such discounts may be subject to availability, specific terms imposed by the relevant third party and/or limited redemption codes, and we do not guarantee the number, frequency or continued availability of any such discounts.

4.1.6. the opportunity to take part in U+ Membership-only socials and events, and any further such Spaces and Benefits as may be made available to U+ Members from time to time.

4.2. The maximum aggregate period for which any U+ Member is permitted to book private room(s) is an aggregate of eight (8) hours in any seven (7) day period.

4.3. You are entitled to access the Spaces and Benefits as available until termination or suspension of your U+ Membership pursuant to these terms and conditions. We reserve the right to restrict access to the Spaces and Benefits where reasonably necessary to ensure fair access for all U+ Members.

5. Use of the gym

5.1. Where you use the gym, you confirm you are in good physical condition and that you are capable of engaging in active or passive exercise and that such exercise would not be detrimental to your health, safety, comfort or physical condition.

5.2. You acknowledge that the gym is unstaffed, and you shall ensure that you know how to use gym equipment before use and read and follow instructions made available within the gym and on the gym equipment. Should you have any concerns about your health and fitness you should seek independent medical advice before engaging in any physical activity on Union premises.

5.3. In consideration for entering the gym and exercising or using any of the facilities and equipment, you confirm that you are aware of the inherent risks that come with using a gym and accept that you are using the gym entirely at your own risk.

5.4. You accept and assume full responsibility for any and all injuries, losses and damages you incur while attending, exercising or participating in the gym and waive all and any claims, demands, damages, or causes of action, whether known or unknown against Union and/or Union’s management which may arise from your use of the gym facility or its equipment.

6. Your U+ Membership subscription

6.1. Your Membership shall usually start in accordance with the start sate in your Occupancy Agreement provided you have accepted these U+ Membership terms and conditions (“Joining Date“).

6.2. If you are starting your Membership after the start date in your Occupancy Agreement, then your Joining Date shall be your next regular billing date in accordance with your Occupancy Agreement, or else as may be notified to you in writing.

6.3. Your U+ Membership term will be equal to the length of term of your Union Occupancy Agreement remaining at the Joining Date (“Membership Term”), unless terminated in accordance with these terms and conditions.

7. Fees

7.1. U+ Membership Fee. From the Joining Date, you shall pay the membership fee of £75 + VAT (£90 total), unless we have notified you of an alternative promotional price in writing.=Your Membership Fee will be payable while your U+ Membership continues, regardless of whether or how much you use the Spaces and Benefits.

7.2. When we can change your Membership Fee. We can increase your Membership Fee at any time for any reason stated in clauses 3 or 11.4 below by giving you at least thirty (30) days’ notice in writing. If you do not want to pay the higher membership fee, you can cancel your contract by giving us thirty (30) days’ notice to cancel at any time before the increase in membership fee comes into force. If you give us notice to cancel, until that notice of cancellation takes effect, you will continue to be charged the previous membership fee.

7.3. Repayment of pre-paid membership fees. If either of us ends your U+ Membership during a period in which you have paid your Membership Fee in advance, then we will refund you for the Membership Fee which relates to any period after the contract has ended. Where you have broken the contract, any repayment may be subject to the deduction of our reasonable expenses as described in clause 8 below.

8. Termination of your Membership

8.1. Automatic termination of your U+ Your U+ Membership will automatically terminate on the date upon which the term of your Union Occupancy Agreement expires or, if earlier, the date upon which your Union Occupancy Agreement is terminated.

8.2. Early termination of your U+ Membership by you. You may end the contract between us by giving us one (1) months’ written notice.

8.3. You may end the contract between us by giving us thirty (30) days’ written notice at any time if:

8.3.1. we tell you that we are making a material change to the Spaces and Benefits and you reasonably consider that the change is materially detrimental to you;

8.3.2. we tell you that we are changing these Terms under clause 2 and you reasonably consider that the change is materially detrimental to you; or

8.3.3. we commit material and persistent breach of these Terms, and in the event of a material breach capable of remedy, we do not remedy the same within fourteen (14) days of receipt of written notice from you.

8.4. We may review your contract with us if your circumstances change in a materially detrimental manner. In the event of a significant change in circumstance you should write to us via email to residentcontracts@liveunion.com. You must provide details of your change in circumstance and enclose/attach relevant supporting evidence so that we may consider your position. We will respond as soon as reasonably practicable and may request additional supporting evidence as we see fit.

8.5. Early termination of your U+ Membership by us. Subject to clause 8.7 we may end the contract between us by giving you one (1) months’ written notice.

8.6. You will have no access to the Spaces and Benefits set out at clause 4.1 above upon termination of your U+ Membership.

8.7. Immediate termination of your U+ Membership. We may terminate your membership without notice and with immediate effect in the event that you:

8.7.1. commit a serious or repeated breach of these Terms, your Union Occupancy Agreement, the Union House Rules, and/or the Union App terms of use (which may include, by way of example, violence, excessive use of bad language, threatening or discriminatory behaviour, inappropriate sexual activities, or any other such behaviour which disturbs the use or enjoyment of the Spaces and Benefits by other Members, or any residents in the building or any Union staff members);

8.7.2. permit a guest that you have invited to use the Spaces, to breach these Terms, as set out in clause 10.4;

8.7.3. in the event of a breach capable of remedy, do not remedy the same within seven (7) days of receipt of a written default notice from us;

8.7.4. fail to pay any part of the Membership Fee and it remains unpaid fourteen (14) days after the date due for payment;

8.7.5. fail to make any payment requested under clause 4.5; and/or

8.7.6. act in a manner that is, in our reasonable opinion, unacceptable.

8.8. You must compensate us if you break the contract. If we end the contract in the situations set out in clause 7, we will refund any Membership Fee you have paid in advance but we may deduct (or charge you additionally) for any reasonable compensation for the net costs we will incur as a result of your breaking the contract.

8.9. Your right to cancel the contract. You can cancel your membership within 14 days of your Joining Date (referred to as the “cooling off period”) without giving a reason. If you want to exercise this right to cancel, please email us at residentcontracts@liveunion.com.

8.10. Effect of cancellation. If you cancel during the cooling off period, we will refund all payments received from you. If you have used the Spaces and Benefits during the cooling off period, we will make a reasonable deduction from any (if applicable) refund we give you to reflect your use of the Spaces and Benefits during the cooling off period.

9. Member Conduct Rules

9.1. You (and, where appropriate your guests) must:

9.1.1. show consideration for other Members and their guests and Union staff in and around the Spaces and when using the Benefits;

9.1.2. not use the Spaces and Benefits for any commercial, business (save for standard deskwork in the ordinary course of a resident’s employment) or re-sale purpose;

9.1.3. not use abusive or bad language;

9.1.4. not bring, use or be under the influence of illegal drugs in any part of the premises;

9.1.5. not be drunk in or about the Spaces;

9.1.6. not behave in an anti-social or disruptive manner, including but not limited to inappropriate or threatening behaviour or sexual activities or misuse of equipment or furniture;

9.1.7. not allow your access to the Spaces and Benefits to be used by any other person; and

9.1.8. not allow any pets within the Spaces at any time.

10. Guests

10.1 You may invite a maximum number of two (2) guests per week to join you in the shared Spaces, excluding the gym. Any guests must report to the Union reception, accompanied by you as the U+ Member, to be issued with a day access card before entering any of the shared Spaces.

10.2. If you have booked a private room, you may invite more than two (2) guests to the private room for the period booked but must ensure that the maximum number of persons permitted to occupy the private room at any one time is adhered to. [Please refer to the Union App for the private room maximum capacity rules. All guests attending a private room should report to reception, accompanied by you as the U+ Member, to be issued with a day access card before entering the private room.

10.3. Guests are not permitted access to the gym at any time.

10.4. If any of your guests are found to be using the gym or any other part of the building they are not permitted to use or are found to be misusing or acting inappropriately in any of the Spaces or other parts of the building, we shall issue you with a written warning and ask that you ensure that there is no repetition of such behaviour. Where there is repetition of such behaviour, we shall be entitled to terminate your U+ Membership without notice and with immediate effect.

11. Our right to make changes

11.1. Changes to the Spaces and Benefits. We may make changes to the Spaces and Benefits and any equipment or furniture within the Spaces at our discretion from time to time. Where that change is material, such as ceasing to provide an important facility we previously provided, we will give you at least thirty (30) days written notice of the change.

11.2. Changes to these Terms. We will not change clauses 2, 12 or 14 of these Terms. We may make any other changes to these Terms at any time for any of the reasons listed in clauses 11.3 or 11.4. We will give you 30 days’ written notice of any changes to these Terms.

11.3. Reasons for making changes. We may make changes to the Spaces and Benefits or to these Terms, or to the price we charge you, for any of the following reasons:

11.3.1. we may change, alter, improve or add to our service offering at our discretion as this ensures we respond to customer needs and remain competitive;

11.3.2. the cost to us of providing the facilities or other costs associated with running our business increase (for example, we have to pay third parties more to provide services or goods to us);

11.3.3. to introduce new charges where the cost of running our business increases;

11.3.4. we reorganise the way we structure or run our business;

11.3.5. other valid legal or regulatory reasons; or

11.3.6. we change these Terms to make them clearer or easier to understand, to reflect changes in law or to update our contracts from time to time so all our members have the same contract.

11.4 Other reasons for changes. We provide access to the Spaces and Benefits on an ongoing basis, and we cannot foresee what may change in the future. This means we may need to make changes for reasons other than those set out above.

11.5 Promotional Incentives

11.5.1 From time to time, we may offer promotional incentives in connection with U+ Membership, including incentives relating to minimum commitment periods, discounted pricing or free membership periods.

11.5.2. Any such promotional incentive shall be subject to separate promotional terms and conditions, which shall apply solely for the purposes of governing the relevant promotional incentive and shall apply in addition to these Terms. In the event of any inconsistency, the promotional terms and conditions shall prevail only to the extent necessary to give effect to the relevant promotional incentive, and shall not amend, override or otherwise affect these Terms in respect of U+ Membership generally.

11.5.3. Eligibility for a promotional incentive may be limited by reference to sign-up date, membership duration or other criteria, and participation in a promotional incentive does not alter the ongoing application of these terms and conditions once the incentive period has ended.

12. Our responsibility for loss or damage suffered by you

12.1. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the services including the right to receive services which are as described and supplied with reasonable skill and care.

12.2. We are not liable for business losses. We only supply the services for private use. If you use the Spaces and Benefits for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

13. How we may use your personal information

13.1. How we will use your personal information. We will use the personal information you provide to us:

13.1.1. to provide the services associated with your U+ Membership;

13.1.2. to process your payment for such services; and

13.1.3. in accordance with the Union privacy notice available on Union’s website: https://liveunion.com/privacy-policy/

13.2. We will only give your personal information to other third parties where the law either requires or allows us to do so.

14. Other important terms

14.1. Any previous U+ membership agreement entered into. To the extent you have entered into a previous form of U+ membership agreement prior to the date of this agreement, the previous membership agreement is deemed to be terminated and superseded by the Terms.

14.2. We are not responsible for things outside our control. If our performance of our obligations under the contract is affected by an event outside our control we will not be liable to you for this provided we try to work around the issue.

14.3. We may temporarily suspend access. We may with reasonable notice and at our discretion, close parts of the Spaces or suspend use of certain Benefits for reasonable periods of time to carry out maintenance, repairs, refurbishment, cleaning or for other reasons outside of our control, including at least 2 days a year for necessary maintenance or other work. We will endeavour to reopen the Spaces and reinstate use of the Benefits as soon as is reasonably possible in these circumstances. You agree that you will not be eligible for any refund for the temporary interruption in services during any such period.

14.4. We may transfer this agreement to someone else. We may transfer, novate, or assign our rights and obligations under these Terms to another company or organisation. You are not permitted to transfer, novate, or assign your rights and obligations under these Terms.

14.5. Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.

14.6. If a court finds part of this contract illegal, the rest will continue in force. Each of the clauses of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

14.7. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things or prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to allow you to access the Spaces and Benefits, we can still require you to make the payment at a later date.

14.8. Which laws apply to this contract and where you may bring legal proceedings. These Terms are governed by English law and you can bring legal proceedings in respect of the services in the English courts. If you live in Scotland you can bring legal proceedings in respect of the services in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in respect of the services in either the Northern Irish or the English courts.
